The State Assets Management Agency of the republic of Uzbekistan

According to the announcement of the State Assets Management Agency on attracting a professional consulting company (hereinafter - the Consultant) for privatization of "Uz-Koram Kompani" LLC and "Avtooyna" LLC (hereinafter - the Assets), the following is reported.

During the selection process, several proposals were received from local and international professional consulting companies and considered their financial proposals, experience in the relevant field, as well as their approaches to accomplish the relevant tasks.

Accordingly, as a result of the selection process, the company Portfolio Investments, which presented a high level of projects in this field of activity, the qualifications of the professional team involved in the project and the most acceptable price offer, was attracted as the Consultant for the privatization of shares in the authorized capital of the Assets.

The Consultant performs the following tasks:

• Analyzing the market of automotive components production and preconditions for the industry development in Uzbekistan and in the region;
• Conducting a comprehensive (tax, legal, financial and environmental) due diligence analysis of the Assets;
• preparation of recommendations on optimal marketing strategy, marketing materials (teaser, information memorandum, procedural letter, etc.) and distribution of information materials among investors;
• taking all measures aimed at privatization of the Assets, including creation of a Virtual Data Room (VDR), preparation of a draft Sale and Purchase Agreement (with translation into Uzbek and, if necessary, Russian and English), and support of the sale process.

The State Assets Management Agency together with Portfolio Investments will take all necessary measures to organize the process in accordance with open, transparent and competitive sales procedures, as well as provide information to the public on each stage of the process.
